1a. Use Restrictions – You must use the Software and any Related Materials in compliance with all applicable laws and for lawful purposes only. Assigning, sublicensing, networking, selling, or distributing copies of the Software is strictly prohibited without prior written consent from  Softzero. Violations of this Agreement include assigning, selling, sharing, lending, renting, leasing, borrowing, networking, or transferring the use of the Software. You must not allow others to use or copy the licensed Software.

1b. Copyright Restriction – You acknowledge that all intellectual property rights related to the Software remain solely with Softzero and/or its licensors. This Agreement does not transfer any intellectual property rights to you. You are granted limited use rights under this Agreement and must not jeopardize or interfere with Softzero’s intellectual property rights. Unauthorized use of  Softzero’s intellectual property violates both this Agreement and applicable intellectual property laws. All third-party content accessible through the Software is owned by its respective content owners and protected by copyright or other intellectual property laws. You must not modify, reverse engineer, disassemble, or decompile the Software, or create derivative works based on it. These restrictions do not apply to open source software as defined in Section 1.2, which is subject to its own terms. All rights not expressly granted are reserved by Softzero and its licensors.

1c. Limitation of Liability & Indemnification – You agree to indemnify, hold harmless, and defend Softzero, its employees, agents, and distributors from any claims, demands, or costs arising from your use of the Software and Related Materials.  Softzero is not liable for any consequential, incidental, indirect, special, exemplary, or punitive damages, including loss of profits, data, or business, even if advised of the possibility of such damages.  Softzero’s total liability under this Agreement is limited to $100. This limitation may not apply in jurisdictions that do not allow such limitations.

1d. Disclaimer and Warranties – The Software and Related Materials are provided on an “AS IS” and “AS AVAILABLE” basis. Except as expressly stated by an authorized  Softzero employee,  Softzero makes no representations or warranties regarding the Software or Related Materials.  Softzero does not guarantee uninterrupted or error-free operation, nor does it warrant the security or accuracy of any data transmitted through the Software.  Softzero assumes no liability for any issues related to third-party content or software.

1e. Governing Law – This Agreement is governed by the laws of the United States and the State of California. Disputes will be resolved by binding arbitration before the American Arbitration Association in San Francisco, with each party bearing its own costs. International treaties are waived, and service may be completed by mail. Softzero is entitled to recover collection costs, including attorney’s fees. The United Nations Convention on the International Sale of Goods does not apply.

1f. Term and Termination – This Agreement is effective from the date of Software installation and continues until terminated by either party. Any breach results in immediate termination of licenses and rights. You may terminate the Agreement at any time and must cease using and destroy all copies of the Software and Related Materials. Financial and indemnification obligations survive termination.

1g. Prohibited Uses – You must use the Services lawfully and responsibly. Prohibited activities include violating laws, posting harmful content, transmitting viruses, overloading systems, hacking, unauthorized data collection, interfering with other users, and circumventing security features. The Services are not intended for critical applications like nuclear facilities or life-support systems.

1h. Equitable Relief – A material breach of this Agreement by you may cause irreparable harm to Softzero, which may seek injunctive relief in a competent court, in addition to other available remedies.

1i. No Waiver – No term or condition is deemed waived unless in writing and signed by Softzero. Failure to enforce any provision does not constitute a waiver of future enforcement.

1j. Export Control – You must not export or re-export the Services except as authorized by U.S. law and the jurisdiction where the Services were obtained. The Services must not be exported to embargoed countries or individuals on restricted lists. You agree not to use the Services for prohibited purposes, including developing weapons.

1k. Force Majeure – Softzero is not liable for any failure or delay in providing the Services due to events beyond its control, such as natural disasters, terrorism, or power failures.

1l. No Assignment – Rights and licenses under this Agreement are personal to you and cannot be transferred without written consent. Softzero may transfer its rights and obligations without your consent
